The Defender No.1 Fund was established as a special opportunities fund, and is an unregistered managed investment scheme that provides investors with exposure to a broad range of assets and opportunities in small-medium enterprises (SMEs) and micro-cap businesses. The Fund, which has no fixed term, targets an IRR of 15-25% and uses capital to invest primarily in equity, debt and hybrid instruments issued by listed and unlisted SME companies, both in Australia and offshore. A secondary focus of the fund will be in direct property and property securities.Target investments are in the range of $0.5 million to $10 million per transaction and may include:

  • Opportunities where the investment manager can offer strategic, financial or operation advice, and/or business connections;
  • Strong business models & management teams which require capital;
  • Succession solutions for long-standing successful businesses;
  • Private & confidential transactions at a fair value;
  • Leveraged or management buyouts;
  • Restructuring or turnaround stories;
  • Passive investments which offer value or absolute returns; andOpportunistic or activist investments.

A key emphasis is placed on strong franchises with predictable revenue and earnings growth that generate high levels of free cash flow and attractive returns on invested capital.

Defender No.1 Fund

The Defender No.1 Fund was established in January 2017. An opportunity has presented itself in the tourism sector, specifically in regional NSW, with the sector experiencing strong and consistent growth over the last 10 years. The Fund is targeting tourism assets in and around Australia, with the initial focus on assets within 5 hours of the Sydney CBD. Vertua has identified that:

• Tourism related growth is 4.6% to 2020.
• The tourism asset market is broken down into large institutional grade assets and smaller ‘owner operated’ tourism assets.
• An opportunity exists to acquire smaller and medium size assets which are typically too small for institutional investors.
• There are opportunities to leverage an overall group management structure to oversee and operate assets typically too small to appeal to large investment groups.
